Confidentiality and Anti-Competition and Non-Solicitation Agreements
It is sometimes necessary for businesses to disclose confidential information to each other for example in order to explore and exploit the possibility of a joint business venture for mutual benefit and business opportunity or in the context of a possible target acquisition. In these situations it is paramount that the disclosing business protects its proprietary rights in such information and takes all steps to ensure the information remains confidential and is only used by the recipient for the purpose for which is was disclosed. Equally important is the need to ensure that the other party enters into suitable agreements not to set up in competition or compete with your business and not to solicit or poach your customers, clients and staff.
